Introduction

1. Acceptance of Terms

By creating an account, accessing, or using Heimdall (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent you have authority to bind that organization to these Terms.

2. Description of the Service

Heimdall is a bring-your-own-key LLM routing proxy with deep observability. The Service routes your API requests to third-party AI providers you select, provides observability and analytics, and manages your provider API keys.

Heimdall does not generate, modify, or store AI content. We act solely as a routing and observability layer between your applications and the AI providers you choose. Trubit reserves the right to change, suspend or discontinue all or part of the Service at any time without liability.

3. Accounts & User Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must ensure your use complies with applicable laws. Trubit is not liable for any losses arising from unauthorized access to your account.

4. Permitted and Prohibited Use

You agree not to: use the Service for unlawful or harmful purposes; attempt to reverse-engineer or extract source code; introduce malware, spam, or malicious requests; disrupt the Service; or otherwise use the Service in a manner that harms Trubit or other users. Trubit may suspend or terminate accounts that violate these Terms.

5. AI Outputs & Third-Party Providers

Heimdall does not generate AI outputs. The Service routes your requests to third-party AI providers (such as OpenAI, Anthropic, Google, and others), and those providers generate the responses you receive through Heimdall.

YOU ACKNOWLEDGE AND ACCEPT THAT AI OUTPUTS ARE GENERATED ENTIRELY BY THIRD-PARTY PROVIDERS AND ARE PROVIDED AT YOUR OWN RISK. AI outputs may be inaccurate, biased, illegal, incomplete, harmful, misleading, or otherwise unreliable.

• No Warranty: Trubit makes NO WARRANTY WHATSOEVER regarding the accuracy, reliability, legality, safety, intellectual property ownership, or fitness for purpose of any AI output generated by third-party providers.
• Sole Responsibility: You are solely and fully responsible for reviewing, validating, independently verifying, and ensuring the compliance and suitability of any AI output before relying on it or taking any action based on it.
• No Professional Advice: AI outputs DO NOT constitute professional advice, including, but not limited to, legal, financial, medical, or technical advice.
• Restricted Use: You agree not to use AI outputs in connection with any safety-critical systems, life support, medical diagnosis, regulatory compliance, financial transactions, legal filings, or any other environment where errors could reasonably lead to personal injury, death, significant environmental damage, or catastrophic financial loss.

6. API Key Responsibility

Heimdall is a bring-your-own-key platform. You are responsible for obtaining, maintaining, and securing the API keys you provide to Heimdall for third-party AI providers.

• Your Keys, Your Responsibility: You are responsible for all charges, usage, and activity that occurs through your API keys, regardless of whether that activity was authorized by you.
• Encryption: Heimdall encrypts your API keys at rest and in transit. We use industry-standard encryption to protect your keys, but you remain responsible for key rotation and revocation.
• Provider Terms: You are responsible for ensuring you have the right to use the API keys you provide and for complying with the terms of service, acceptable use policies, and rate limits of each provider.
• Revocation: You may revoke or rotate your API keys at any time through the Service. Revoked keys will no longer be used for routing requests.

7. Third-Party Services

When you use Heimdall, your requests are sent to third-party AI providers you have configured. You are bound by those providers' terms of service, privacy policies, and acceptable use policies.

Heimdall is not responsible for:

• Provider downtime, service interruptions, or degradation
• Content filtering, moderation, or policy changes by providers
• Changes to provider pricing, rate limits, or API availability
• How providers handle, store, or process your data

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND.

Trubit expressly disclaims all warranties, whether express, implied, or statutory, including WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF NON-INFRINGEMENT, WARRANTIES CONCERNING SECURITY, PERFORMANCE, OR CONTINUOUS AVAILABILITY, and WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR COMPLY WITH ANY SPECIFIC LAW, REGULATION, OR INDUSTRY STANDARD.

Trubit does not warrant that the Service will operate without interruption or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY DANISH AND EU LAW (EXCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT):

• Trubit shall NOT be liable for any indirect, incidental, consequential, special, exemplary, punitive, or reliance damages, including, without limitation: loss of profits, revenue, data, business, anticipated savings, loss of goodwill, failure of security mechanisms, or costs of procuring substitute goods or services, whether arising in contract, tort (including negligence), or otherwise, even if Trubit has been advised of the possibility of such damages.
• Trubit's maximum aggregate liability for any and all claims arising out of or related to these Terms or the Service shall not exceed the lesser of:
  • The total amount paid by you to Trubit for the Service during the one (1) month period immediately preceding the event giving rise to the claim; or
  • TEN EUROS (€10.00).
• This limitation applies to all causes of action and shall apply even if the remedy fails its essential purpose.

10. Indemnification

You agree to indemnify, defend and hold harmless Trubit and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, your use of third-party AI providers through the Service, or your violation of applicable law or a third party's rights.

11. Data Protection & Privacy

Trubit processes personal data in accordance with applicable Danish and EU data protection laws, including the GDPR. Please review our Privacy Policy for details on how we collect, use and protect personal data, and how to exercise data subject rights.

To improve the quality and features of the Service, we may use anonymized and aggregated data derived from user interactions. We will never use your personal data or confidential content to train our AI models without your explicit consent.

12. Consumer Rights (B2C)

If you are a consumer within the EU/EEA, you may have statutory rights which cannot be waived. In particular:

• Right of withdrawal: Due to the nature of our digital services, there is no right of withdrawal once access to the Heimdall platform has been granted or the service has begun. By creating an account, activating a subscription, or using the platform, you agree that the service begins immediately and acknowledge that the statutory right of withdrawal does not apply. This applies to both B2C and B2B customers, as the service is delivered digitally and fulfilled instantly.
• Mandatory consumer protections: These Terms are subject to mandatory consumer protection rules under Danish and EU law and will be interpreted accordingly.

13. Fees & Billing

Service access, usage limits, billing, refunds and payment terms are governed by the pricing information available on our website and any separate subscription agreement you accept when purchasing the Service.

Heimdall fees are separate from any charges incurred through your third-party AI provider accounts. You are responsible for all charges from the providers whose APIs you use through Heimdall.

14. Termination

Trubit may suspend or terminate your access to the Service at any time for breach of these Terms or for other legitimate reasons. Upon termination, your license to use the Service ends immediately. Surviving provisions include intellectual property, disclaimers, limitation of liability, indemnity and governing law clauses.

15. Intellectual Property

All intellectual property rights in Heimdall (software, UI, documentation, trademarks) remain the exclusive property of Trubit and its licensors. You retain full ownership of the content you provide to the Service. You grant Trubit a limited, worldwide, royalty-free license solely to process and route your content as necessary to provide and maintain the Service for you.

16. Changes to These Terms

Trubit may update these Terms from time to time. We will post the updated Terms on this page with an updated "Last updated" date. Continued use of the Service after posting constitutes acceptance of the updated Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of Denmark, excluding conflict-of-law rules. The dispute resolution method depends on your residency.

17.1. Dispute Resolution for Non-U.S. Residents

If you are not a resident of the United States, any dispute arising from these Terms shall be resolved exclusively by the Court in Roskilde (Retten i Roskilde), Denmark. If you are a consumer, you may also use Danish consumer dispute mechanisms or the EU Online Dispute Resolution platform.

17.2. Dispute Resolution for U.S. Residents (Mandatory Arbitration)

If you are a resident of the United States, you and Trubit ApS agree to resolve any dispute arising from these Terms or the Service through final and binding arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You may opt out of this agreement to arbitrate by emailing legal@heimdall.run within 30 days of first accepting these Terms.

18. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in force. These Terms constitute the entire agreement between you and Trubit regarding the Service.
